1. Acceptance of Terms
By accessing or using the RiseLab platform, API, website (riselab.tech), or any related services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and RiseLab ("Company", "we", "us", or "our").
2. Description of Service
RiseLab provides a cloud-based API platform and infrastructure layer for AI agent developers. Our services include, but are not limited to:
- A living knowledge engine with real-time research indexing
- Persistent vector memory for AI agents
- Cross-agent fleet synchronization and collaboration tools
- RESTful API access and developer SDKs
- Dashboard and analytics for monitoring agent performance
3. Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and API keys
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Service.
4. API Usage & Rate Limits
Your use of the RiseLab API is subject to the rate limits and usage quotas associated with your subscription plan. You agree not to:
- Exceed the API rate limits applicable to your plan
- Attempt to circumvent rate limiting or usage restrictions
- Use automated tools to scrape, crawl, or extract data beyond API responses
- Share or resell your API keys to third parties without our written consent
- Use the Service for any unlawful, harmful, or malicious purpose
We reserve the right to throttle, suspend, or terminate access to the API if usage patterns are deemed abusive or in violation of these Terms.
5. Subscription Plans & Billing
RiseLab offers tiered subscription plans (Free, Pro, and Enterprise). By subscribing to a paid plan, you agree to the following:
- Billing Cycle: Subscriptions are billed on a recurring monthly basis unless otherwise specified.
- Payment: All payments are processed through our third-party payment processor (Paddle). You agree to comply with Paddle's terms of service.
- Price Changes: We reserve the right to modify pricing with 30 days' advance notice. Existing subscribers will be notified before any changes take effect.
- Taxes: Prices may be exclusive of applicable taxes, which will be added at checkout as required by law.

6. Intellectual Property
Our Property
The Service, including its design, code, branding, documentation, and underlying technology, is the exclusive property of RiseLab and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our written permission.
Your Data
You retain ownership of all data, content, and agent configurations you submit through the Service. By using the Service, you grant RiseLab a limited, non-exclusive license to process, store, and transmit your data solely to provide the Service to you.
7. Prohibited Activities
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malware, viruses, or any destructive code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Engage in any activity that disrupts or interferes with the Service
- Generate, store, or distribute illegal, harmful, or offensive content
- Reverse-engineer, decompile, or disassemble any part of the Service
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
- RiseLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total aggregate liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
- We do not guarantee uninterrupted, error-free, or secure operation of the Service.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:
- Your right to use the Service immediately ceases
- All API keys associated with your account will be revoked
- We may delete your data after a reasonable retention period (typically 30 days)
- Any outstanding fees remain payable
You may terminate your account at any time by contacting us at support@riselab.tech.
10. Modifications to Terms
We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
12. Indemnification
You agree to defend, indemnify, and hold harmless RiseLab, its officers, employees, and affiliates from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of applicable laws or third-party rights.
This obligation applies to claims related to content you submit, API usage patterns, and any integrations you enable through your account.
13. Export Controls & Sanctions
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or jurisdiction subject to applicable trade restrictions, and that you will not use the Service in violation of export control or sanctions laws.
RiseLab may restrict access where required to comply with legal obligations, including sanctions compliance and anti-fraud enforcement.
14. Service Availability Notice
While we aim for high reliability, the Service may be unavailable due to maintenance, infrastructure issues, security events, provider outages, or force majeure events. Planned maintenance windows may be announced in advance when feasible.
Unless explicitly stated in a signed enterprise agreement, no uptime service-level guarantee is provided under these public Terms.
15. Transparency Commitment
We do not intentionally conceal key contractual obligations. Material terms (billing, data, limitations, and termination) are intended to remain plainly visible in this document. If any clause appears unclear, contact us and we will provide a direct explanation.
